Company History: How Actavis Generics Started

This company began in the spring of 1983. Two friends, Allen Chao, Ph.D. and David Hsia, Ph.D., used money from family and friends to start a small business. They wanted to develop new medicines.

Just two months later, they opened a small lab in Libertyville, Illinois, U.S. They had six employees, including themselves. Here, they started working on new products and testing them.

By the end of 1983, the company moved to Southern California. They set up in a larger space in Corona. This is where they began making generic medicines. The Corona location became the main office for the growing U.S. company.

How the Company Grew Over Time

Actavis has grown a lot, both by developing its own products and by buying other companies.

Growth in the 1990s

In 1993, Actavis, which was then called Watson, offered its shares to the public for the first time. This is called an Initial Public Offering (IPO). The company's shares were first listed on the NASDAQ stock exchange. In 1997, the company moved to the New York Stock Exchange (NYSE).

Growth from 2000 to 2009

In 2000, the company bought Schein Pharmaceutical Inc. This purchase more than doubled the size of the company. In the same year, the company made over $1 billion in sales.

In 2006, they bought Andrx Corporation. This made them the third-largest specialty medicine company based on how many prescriptions were filled. In 2007, Dr. Allen Chao, one of the founders, retired. Paul M. Bisaro took over as the new CEO.

The company started to grow internationally in 2009 when it bought the Arrow Group. This gave them a presence in over 20 countries. As part of this deal, they also acquired Eden Biodesign, a company that develops biologic medicines, in Liverpool, UK.

In 2011, Watson moved its main office from Corona, California to Parsippany, New Jersey. The new office building was officially opened in June 2011.

Actavis Acquisition and Name Change

In November 2012, Watson bought a company called Actavis Group from Switzerland. This deal cost €4.25 billion. This made the combined company the third-largest generic medicine company in the world. It became a leader in important markets like the US, UK, Canada, and parts of Europe. After this purchase, Watson decided to use the Actavis name for all its global operations.

Warner Chilcott PLC Acquisition

On October 1, 2013, Actavis bought an Irish medicine company called Warner Chilcott PLC. This deal was worth about $8.5 billion. This merger created a company that expected to make about $10 billion in sales in 2013. It also became the third-largest specialty medicine company in the US. This company focused on women's health, urology, stomach issues, and skin conditions.

Because of this merger, the company moved its main headquarters to Ireland. This allowed them to take advantage of Ireland's lower corporate tax rate, which was 17% compared to 35% in the United States. This move inspired other drug companies to do similar things.

Forest Laboratories Acquisition

On July 1, 2014, Actavis announced that it had finished buying Forest Laboratories. This deal was worth about $25 billion. After this purchase, the company changed its leadership. Paul Bisaro became the Executive Chairman, and Brent Saunders became the new CEO and President.

Allergan Inc Acquisition and Actavis PLC Name Change

In November 2014, Actavis PLC announced its plan to buy Allergan Inc. Allergan is the company that makes Botox. On March 17, 2015, Actavis PLC completed the purchase of Allergan Inc for about $70.5 billion. This combination created a large global medicine company with sales of $23 billion and operations in 100 countries. In June 2015, Actavis PLC officially changed its name to Allergan PLC.
